General Terms and Conditions

General Terms and Conditions (GTC) of MWH Consulting GmbH (hereinafter referred to as "Company") for consulting services with a focus on management process development.

 

Scope

These GTC form part of the contract between the Company and its clients for services provided by the Company.

 

Subject matter of the contract

The Company provides management consulting services with a focus on topics tailored to the individual requirements of the client. The precise scope of services is specified in a written contract between the Company and the client.

 

Client obligations

The client is obliged to provide the Company with all necessary information required for the provision of services. The client is also obliged to inform the Company of any changes or additions to the information required for the provision of services. Furthermore, the client is responsible for implementing the measures recommended by the Company or the client's team and assumes sole responsibility for their implementation.

 

Liability

The Company shall only be liable for damages resulting from gross negligence or intent. Liability for slight negligence is excluded. In any case, liability is limited to the value of the contract.

 

Fees

The fees are agreed upon in a written contract between the Company and the client, which is concluded by acceptance of an offer from the Company or by payment of the first partial invoice relating to the offer. The fees become due upon the provision of the services and are to be paid within 30 days. Monthly, expenditure-related partial invoices may be issued.

 

Confidentiality

The Company undertakes to treat all information received during the provision of consulting services as confidential and not to disclose it to third parties unless the client expressly agrees.

 

Jurisdiction

The place of jurisdiction for all disputes relating to these GTC and the contracts between the Company and the client is the registered office of the Company.

 

Final provisions

Should any individual provision of these GTC be or become invalid or unenforceable, the remaining provisions shall remain unaffected. In place of the invalid or unenforceable provision, a regulation shall be deemed to have been agreed upon that comes as close as possible to the economic purpose of the invalid or unenforceable provision. Amendments or supplements to these GTC require the written form.
